TD Web LLC provides the following services, subject to separate project agreements as applicable:

The specific scope, deliverables, timelines, and pricing for any project will be outlined in a separate written agreement or proposal between TD Web LLC and the client. In the event of a conflict between these Terms and a signed project agreement, the project agreement shall prevail.
Client Responsibilities
Clients agree to provide timely and accurate content, materials, feedback, and approvals necessary for the completion of their project. Delays caused by a client's failure to provide required materials may result in adjusted timelines or additional charges as outlined in the applicable project agreement.
Clients are responsible for ensuring they have the rights to any content, images, or materials they provide to TD Web LLC for use in their projects.
Payment Terms
Payment terms, including deposits, milestones, and final payment schedules, will be defined in the project agreement for each engagement. Unless otherwise stated, invoices are due upon receipt. TD Web LLC reserves the right to suspend work on any project with overdue payments until the balance is resolved.
Intellectual Property
Upon receipt of full payment, the client will own the final deliverables (such as website files and custom graphics) as specified in the project agreement. TD Web LLC retains the right to display completed work in its portfolio and marketing materials unless otherwise agreed in writing.
TD Web LLC retains ownership of any proprietary tools, frameworks, code libraries, or processes used in delivering services that were not created exclusively for the client's project.
Website Use & Conduct
By using this website, you agree not to:
- Use the site for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to any portion of the site or its systems
- Interfere with or disrupt the integrity or performance of the website

TD Web LLC designs websites to function with current versions of major modern browsers (such as Chrome, Firefox, Safari, and Edge) at the time of delivery. Limitation of Liability

In no event shall TD Web LLC's total aggregate liability exceed the total fees paid by the client to TD Web LLC under the applicable project agreement during the six (6) months preceding the event giving rise to the claim.
Indemnification
You agree to defend, indemnify, and hold harmless TD Web LLC and its owners, employees, agents, and contractors from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to: (a) content, images, or materials you provide that infringe on the intellectual property or other rights of any third party; (b) your breach of these Terms; or (c) your use of services delivered by TD Web LLC in a manner not authorized by the applicable project agreement.
Third-Party Services
TD Web LLC may use third-party tools, platforms, hosting providers, plugins, stock assets, or software in the delivery of services. We do not control and are not responsible for the availability, accuracy, or policies of any third-party services. Clients may be subject to the terms and conditions of those third-party providers.
Any third-party costs (such as domain registration, premium plugins, stock photography, or hosting fees) are the responsibility of the client unless otherwise specified in the project agreement.
Confidentiality
Both TD Web LLC and the client agree to keep confidential any proprietary or sensitive information shared during the course of a project, including but not limited to business strategies, login credentials, trade secrets, and unpublished content. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law. This obligation survives the termination of any agreement between the parties.
Project Cancellation & Refunds
If a client wishes to cancel a project after work has commenced, the client is responsible for payment of all work completed up to the date of cancellation. Deposits paid prior to the start of work are non-refundable once design or development work has begun. Cancellation requests must be submitted in writing (email is acceptable). TD Web LLC reserves the right to offer partial refunds at its sole discretion depending on the circumstances.
Force Majeure
Neither party shall be held liable for any delay or failure to perform obligations under these Terms or any project agreement caused by circumstances beyond reasonable control, including but not limited to natural disasters, acts of war, pandemics, government actions, internet outages, power failures, or other events that could not have been reasonably anticipated or prevented.
Termination
We reserve the right to terminate or suspend access to our website at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Termination of a service engagement is governed by the terms of the applicable project agreement. Upon termination, provisions relating to intellectual property, indemnification, limitation of liability, and confidentiality shall survive.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Cook County, Illinois.
Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
Changes to These Terms
TD Web LLC reserves the right to update or modify these Terms of Service at any time. Changes will be effective immediately upon posting to this page with an updated effective date. Your continued use of the website following any changes constitutes acceptance of the revised terms.
